Why professionals need E&O coverage

"I have General Liability! I'm covered, right?"

Not necessarily. General liability responds to bodily injury and property damage — it typically excludes the financial loss your clients suffer because of your professional advice or services. The claim scenarios below show where the gaps appear.

Consulting

Management Consultant

Claim cost $500,000

The facts: A manufacturer retained a management consultant to evaluate operational efficiencies and recommend ways to streamline production and reduce staffing costs. The consultant recommended a restructuring plan with a new staffing model and supply chain process.

Risk factors: The capabilities of several key suppliers changed after the plan was drafted. The consultant provided revised recommendations, which the client ignored, causing delays. It took 18 months to implement the plan, during which several key employees resigned.

The client sued, alleging the consultant had not fully investigated the supply chain and used unrealistic assumptions, leading to $150,000 in additional costs and $350,000 in lost profits. The revised recommendations were never communicated in writing, and written reporting was insufficient to fully defend the consultant.

Sexual Harassment

Claim cost $400,000

A male security officer sued a local security company claiming sexual harassment by a male manager, and alleged the employer failed to investigate or take corrective action. The employer did investigate and the manager was eventually terminated. In some states strict liability can apply — the employer is liable for the actions of its managers even if no one was aware of the behavior. This matter cost the security company $400,000 to resolve.

Clerical Errors & Product Design

A medical assistant who misplaced a lab report and failed to show the results to the doctor delivered "professional services" even though the acts were merely clerical. Most professional services involve clerical duties that may lead to liability — the professional is ultimately responsible.

An interior designer designed lighting fixtures for 450 hotel guest rooms. Due to a communication error, the fixtures produced overseas did not meet UL standards and all 450 had to be replaced. Product liability is covered under general liability with restrictions — but here it's professional liability that would provide the defense, since the designer selected a manufacturer that did not meet UL standards.

Company Sues Its Associate General Counsel

Claim cost $500,000

A development company relied on its associate general counsel's written legal opinion about the costs of developing a property adjoining a vacation resort. The estimate was far less than the final cost, and the company incurred close to $1 million in additional costs. The company sued for breach of fiduciary duty, negligence and conflict of interest. The case settled for $500,000.

Negligence / Unauthorized Practice

Claim cost $3 million

A general counsel admitted to practice in California wrote legal documents for a sister company in Hawaii. A third party used the documents to negotiate a contract and later discovered inaccuracies and misrepresentations, losing substantial sums. They alleged negligence and notified the Office of Disciplinary Counsel of unauthorized practice of law. The matter settled for $3 million.

Nonprofit Sues Pro Bono Attorney

Claim cost $270,000+

An attorney agreed to take a case pro bono for an environmental advocacy nonprofit sued for publishing defamatory statements. After negotiations the attorney recommended a settlement. The nonprofit was dissatisfied with the result and sued the attorney for misrepresentation. The claim cost more than $270,000 to resolve.

Technology & Telecom

A telecom provider advertising 99.9% uptime suffered a serious outage caused by faulty switching software. Customers alleged hundreds of thousands in lost sales, and the carrier denied the claim under the "breach of warranties and representations" exclusion.

A component manufacturer's parts caused a defect discovered after thousands of computers were sold; the computer manufacturer sought replacement costs and damages for lost sales.

An IT employee installed a software upgrade without backing up the data, which was then deleted. The general liability carrier denied the claim because loss of software and data is excluded.

M&A

Representations & Warranties Insurance

Minimization of seller liability. A private equity seller near the end of a fund's life wishes to limit post-closing indemnification liabilities, while the buyer wants a high cap or long survival period. Insurance can bridge the gap.

Bid enhancement. In a competitive auction, a buyer can distinguish their bid by agreeing to look to a reps and warranties policy instead of a seller indemnity, elevating the likelihood of winning.

Foreclosure Services

Claim cost $310,000

Situation: A real estate agent was retained by a bank to list and "trash out" a foreclosed property.

Action: The plaintiff sued the bank, mortgage servicer and agent for wrongful eviction and destruction of property.

Result: Settled for $80K with defense costs of $230K.

Commercial Leasing

Claim cost $92,000

Situation: An agent represented the lessee of a warehouse. The lessor sued the lessee for failing to pay the security deposit and rent; the lessee then sued the agent for failing to negotiate correct lease terms.

Result: Settled for $22K with defense costs of $70K.

Open House Slip & Fall

Claim cost $80,000

A potential buyer slipped in the kitchen during an open house and broke his arm after the agent used a wood cleaning product on linoleum flooring. The total cost to defend and pay the judgment was $80,000.

A Franchise Owner's policy will defend their interest but will most likely not cover the individual sales associate — independent contractors are typically excluded. That is why all sales associates must maintain their own commercial general liability policy.

Auto Accident on the Job

Claim cost $825,000

An agent driving to a meeting while talking on a handheld phone struck a pedestrian, causing severe injury. Learning the agent had minimal auto liability limits, the plaintiff also pursued the Franchise Owner. A jury awarded $825,000. Typical hired/non-owned auto coverage would not respond because independent contractors are not covered under most policy forms.

Claim cost $1.75M

A refrigeration contractor's valve failure caused an ammonia leak; seventeen neighbors were hospitalized and operations were interrupted — $1.75M in bodily injury, property damage and defense costs (contractors pollution liability).

A masonry sub-contractor did not build a loading dock to plan; the general contractor was held responsible for $350,000 for poor supervision.

A mechanical sub-contractor miscalculated cooling needs for an office building, resulting in a $450,000 professional and pollution liability claim for replacement, mold remediation and tenant relocation.
